These Terms & Conditions (“Terms”) apply to services provided by Congo Local Guides Sarl (“Congo Local Guides”, “CLG”, “we”, “us” or “our”).
They govern bookings for travel and expeditions, customised travel arrangements, professional services, visa and permit assistance, use of the Congo Local Guides Client Portal and other services provided by CLG unless different terms have expressly been agreed in writing.
Certain provisions apply specifically to private travellers, while others apply specifically to professional clients such as film productions, media organisations, NGOs, researchers, photographers, journalists, companies and institutional clients.
Nothing in these Terms excludes or limits rights that cannot lawfully be excluded or limited under applicable law.
1. Company Information
The contracting entity is:
Congo Local Guides Sarl (CLG Sarl)
Limited Liability Company
03 Av. Okitundu
Lingwala
Kinshasa
Democratic Republic of Congo
Website: https://congolocalguides.com
Privacy contact: info@congolocalguides.com
Questions, requests or concerns relating to personal data may be sent to this email address.
2. Scope of These Terms
These Terms may apply to:
- expeditions and organised trips in the Democratic Republic of Congo;
- customised travel arrangements;
- accommodation and local transportation arranged as part of a CLG itinerary;
- guides and local operational support;
- permits and activity arrangements;
- visa and entry assistance;
- professional logistics;
- film, television and documentary production support;
- journalism and media assignments;
- photography projects;
- NGO, research and scientific projects;
- business and institutional delegations;
- location research and fixing;
- permits and accreditation support;
- local transportation and accommodation logistics;
- use of the CLG Client Portal; and
- other services expressly described in a CLG quotation, proposal, itinerary, Statement of Work or Booking Confirmation.
The exact services included in a particular booking are those stated in the applicable written proposal, quotation, itinerary, Statement of Work or Booking Confirmation.
3. Different Types of CLG Services
CLG provides two principal categories of services.
3.1 Travel and Expeditions
3.2 Professional Services
4. Enquiries Are Not Bookings
Submitting an enquiry through the CLG website, email, Client Portal or any other communication channel does not by itself create a binding contract.
Information provided during the enquiry process, including indicative itineraries, estimated prices and availability, may change until a booking has been formally confirmed.
A contract is formed only when CLG confirms the booking or project in writing and any required booking conditions, including an applicable deposit, have been satisfied.
5. Quotations, Proposals and Booking Confirmation
A quotation or proposal may contain:
- the services included;
- the itinerary or project scope;
- dates;
- number of participants or personnel;
- accommodation;
- transportation;
- activities;
- permits;
- staffing;
- project deliverables;
- price;
- currency;
- deposit;
- payment schedule;
- cancellation conditions;
- minimum participant requirements, where applicable; and
- other project-specific conditions.
Unless otherwise stated, quotations are subject to availability until the booking has been confirmed.
Where a Booking Confirmation, quotation, proposal or Statement of Work contains conditions specifically agreed for a particular booking, those specific conditions form part of the contract.
If there is a conflict between these general Terms and expressly agreed project-specific terms, the expressly agreed project-specific terms take precedence to the extent of that conflict, except where mandatory law provides otherwise.
6. International Flights
International flights to and from the Democratic Republic of Congo are not included in CLG expeditions, travel packages or Professional Services.
Travellers are responsible for booking and managing their own international flights.
Customers should not purchase non-refundable international flights until the relevant CLG booking has been confirmed and CLG has confirmed that the planned arrival and departure dates are appropriate.
CLG is not responsible for the terms imposed by an airline chosen independently by the customer.
Customers are responsible for informing CLG promptly of significant changes, cancellations or delays affecting their international travel.
Where possible, CLG will make reasonable efforts to adapt local arrangements to flight disruptions, but additional services or costs resulting from such disruptions may be charged to the customer where appropriate.
7. Prices and Currency
The price and currency applicable to a booking will be stated in the relevant quotation, proposal or Booking Confirmation.
Prices may be quoted in EUR, USD or another specified currency.
Unless expressly stated otherwise, the quoted price only includes the services specifically identified as included.
Costs described as excluded are the responsibility of the customer.
Customers are responsible for bank charges, currency-conversion charges or payment-provider charges imposed by their own bank or payment provider unless otherwise stated.
Any right to change the price after conclusion of a consumer travel contract is subject to applicable mandatory law.
8. Deposits
CLG does not use one universal deposit percentage for all services.
The required deposit depends on the type of expedition, trip or Professional Service, the suppliers involved, advance permit requirements, accommodation commitments, project duration and other operational factors.
The required deposit will therefore be stated individually in the applicable:
Quotation / Proposal / Booking Confirmation / Statement of Work.
The booking may remain unconfirmed until the required deposit has been received.
Some amounts paid by CLG to third-party suppliers may become non-refundable before the trip or project begins. Where reasonably possible, CLG will identify material non-refundable commitments in the relevant booking documentation.
[TO BE COMPLETED IF CLG LATER WANTS TO INTRODUCE A STANDARD MINIMUM DEPOSIT POLICY.]
9. Payment Schedule
Payment deadlines are determined individually according to the service being provided.
The applicable payment schedule will be specified in the quotation, proposal, Booking Confirmation or Statement of Work.
A Professional Service assignment may have a different payment structure from a private expedition.
For example, a Professional Service project may involve staged payments linked to mobilisation, project dates or defined milestones, while an expedition may require a deposit followed by a final balance before departure.
Where payment is not received by the agreed deadline, CLG may suspend further arrangements or, after reasonable notice and subject to applicable law, treat the booking as cancelled.
Any costs already irrevocably committed to third parties remain subject to the relevant cancellation terms.
[TO BE COMPLETED IF CLG LATER WANTS TO INTRODUCE A STANDARD FINAL-PAYMENT DEADLINE FOR TRAVEL BOOKINGS.]
10. Payment Providers
Payments may be made using the payment methods made available by CLG at the time of booking.
CLG may introduce payment processing through third-party payment providers in the future.
Where a third-party payment provider is used, its own payment-processing terms and privacy information may additionally apply.
The use of a payment provider does not change the underlying contractual relationship between CLG and the customer.
11. Cancellation by the Customer – Travel and Expeditions
Customers wishing to cancel a confirmed trip must notify CLG in writing.
Cancellation becomes effective when CLG receives the written cancellation.
Different expeditions may involve substantially different advance commitments. For this reason, the applicable cancellation schedule should be specified in the Booking Confirmation for the relevant expedition.
Cancellation charges may reflect amounts that CLG has already committed or paid for matters such as:
- accommodation;
- permits;
- park fees;
- transportation;
- local suppliers;
- guides;
- reserved vehicles;
- domestic transport;
- special activities; and
- other services secured specifically for the booking.
Certain permits, tickets or third-party reservations may be non-refundable or non-transferable once issued.
CLG will not impose a cancellation charge that is prohibited by mandatory applicable law.
Default cancellation schedule
[TO BE COMPLETED BEFORE PUBLICATION OR BEFORE ANY BOOKING FOR WHICH NO INDIVIDUAL CANCELLATION SCHEDULE IS ISSUED.]
Suggested structure to be decided by CLG:
- cancellation more than [XX] days before departure: [XX];
- cancellation [XX–XX] days before departure: [XX];
- cancellation [XX–XX] days before departure: [XX];
- cancellation fewer than [XX] days before departure: [XX].
Where an individual Booking Confirmation contains its own cancellation schedule, that schedule applies to the particular booking.
Mandatory statutory cancellation or refund rights remain unaffected.
12. Cancellation of Professional Services
Cancellation conditions for Professional Services may differ substantially from those applicable to tourist expeditions.
Film productions, media assignments and other professional projects may require CLG to commit staff, vehicles, accommodation, permits, locations and other resources considerably in advance.
The applicable cancellation conditions will therefore normally be included in the proposal or Statement of Work.
Depending on the circumstances, cancellation charges may include agreed fees for work already performed and reasonable non-recoverable third-party commitments made specifically for the project.
CLG will provide supporting information regarding material committed costs where reasonably appropriate.
13. Changes Requested by the Customer
Changes requested after confirmation are subject to availability.
Examples include:
- travel dates;
- participant numbers;
- accommodation;
- activities;
- transport;
- itinerary;
- filming locations;
- crew size;
- equipment;
- project duration; and
- scope of professional services.
A requested change may result in additional costs.
CLG will advise the customer of material additional charges before implementing a significant requested change wherever reasonably possible.
14. Minimum Participant Numbers
Some group expeditions may require a minimum number of participants in order to operate on the advertised basis.
Where a minimum participant requirement applies, the applicable number and the deadline by which CLG may cancel for insufficient participation will be disclosed in the relevant expedition information or Booking Confirmation.
Minimum participants: [TO BE DEFINED PER EXPEDITION OR, IF DESIRED, AS A GENERAL CLG POLICY.]
CLG will not rely on an undisclosed minimum participant requirement after a customer has booked.
Where an expedition is cancelled because the disclosed minimum number has not been reached, CLG may offer an alternative departure, revised private/small-group arrangement or refund, subject to applicable mandatory law and the customer’s agreement where required.
15. Changes by CLG
Travel in the Democratic Republic of Congo may require operational flexibility.
CLG may need to modify an itinerary where reasonably necessary because of circumstances such as:
- weather;
- road conditions;
- local transportation;
- flight or boat schedules within the DRC;
- park operations;
- wildlife conditions;
- government decisions;
- permit availability;
- border or regional restrictions;
- security considerations;
- local events;
- accommodation availability;
- health or safety concerns; or
- other circumstances affecting the safe or practical operation of the trip.
Where possible, CLG will provide an appropriate alternative of a reasonably comparable nature.
Minor itinerary changes that do not materially alter the overall service may be made where operationally necessary.
Material changes will be handled in accordance with the customer’s contract and any mandatory rights under applicable law.
16. Cancellation by CLG
CLG may cancel a trip or service where performance becomes impossible, unsafe or materially impracticable, where a disclosed minimum participant requirement is not reached, or where other circumstances permit cancellation under applicable law.
Where CLG cancels, the customer’s rights will depend on the reason for cancellation, the services affected, amounts already provided, applicable mandatory law and any relevant project-specific agreement.
Nothing in these Terms removes any statutory right to reimbursement that applies to the customer.
17. Unavoidable and Extraordinary Circumstances
Travel and professional operations in the DRC may be affected by circumstances outside the reasonable control of CLG or the customer.
These may include, depending on the circumstances:
- armed conflict;
- civil unrest;
- government restrictions;
- border closures;
- evacuation orders;
- terrorism or serious security incidents;
- epidemics or public-health emergencies;
- natural disasters;
- flooding;
- volcanic activity;
- severe weather;
- strikes;
- transportation disruption;
- closure of parks or protected areas;
- sudden restrictions imposed by public authorities;
- interruption of essential infrastructure; or
- comparable extraordinary events.
CLG will make reasonable efforts to manage such situations and, where appropriate, offer practical alternatives.
The consequences for cancellation, refunds, additional costs or continuation of the service are subject to the applicable contract and mandatory law.
Nothing in this clause is intended to remove consumer rights that cannot legally be excluded.
18. Travel Insurance
Travel insurance is not generally mandatory for participation in a CLG expedition unless a particular expedition expressly states otherwise.
However, CLG strongly recommends that every traveller obtain comprehensive travel insurance appropriate to travel in the Democratic Republic of Congo.
The policy should be considered carefully and, where appropriate, provide adequate cover for:
- emergency medical treatment;
- medical evacuation;
- repatriation;
- trip cancellation;
- trip interruption;
- baggage and personal belongings;
- delayed travel; and
- activities included in the planned itinerary.
Customers are responsible for checking that their chosen insurer covers the destination and activities concerned.
CLG does not provide insurance advice and cannot guarantee that a particular insurance policy will respond to a claim.
19. Health, Fitness and Medical Considerations
Customers are responsible for ensuring that they are reasonably fit for the activities they book.
Certain CLG itineraries may involve:
- remote travel;
- hiking or trekking;
- tropical conditions;
- heat and humidity;
- rough roads;
- limited infrastructure;
- long travel times;
wildlife environments; and - areas with limited access to advanced medical facilities.
Customers should obtain appropriate medical advice before travelling where necessary.
Information provided by CLG about health requirements is general travel information and is not a substitute for professional medical advice.
Customers should inform CLG before travel of any condition, accessibility requirement or circumstance that may materially affect their participation where such information is necessary for CLG to provide the service safely.
20. Vaccinations and Health Requirements
Travellers are responsible for verifying the vaccination, health certificate and medical-entry requirements applicable to them.
Requirements may vary depending on nationality, residence, travel history and changes in public-health regulations.
CLG may provide general information, but customers should verify current requirements with competent authorities or qualified medical professionals before departure.
21. Passports and Travel Documents
Customers are responsible for travelling with a valid passport and any other documents required for their journey.
The customer must ensure that all information supplied to CLG is complete and accurate.
CLG is not responsible for consequences caused by inaccurate, incomplete or late information supplied by the customer, except to the extent responsibility cannot lawfully be excluded.
22. Visas and Entry Formalities
CLG may assist customers with visas and other entry requirements for the Democratic Republic of Congo.
Visa applications are processed with the assistance of authorised CLG personnel in the DRC.
The customer must provide all required information and documents accurately and within the requested timeframe.
CLG can assist with the visa process but cannot guarantee that a visa, permit, accreditation or entry authorisation will be granted.
The final decision belongs to the relevant governmental or immigration authority.
Customers should not assume that submission of a visa application guarantees permission to travel.
Personal information and documents used for visa processing are handled in accordance with the CLG Privacy Policy.
23. Permits and Government Authorisations
Certain activities may require government, park, immigration, filming, research, media or other official permissions.
CLG may assist in obtaining such permissions where included in the agreed service.
The final decision to issue, modify, delay, withdraw or refuse a permit belongs to the relevant authority.
CLG therefore cannot guarantee the issue of a government authorisation that is outside its control.
Certain permit fees may become non-refundable once an application has been submitted or a permit issued.
24. Gorilla, Wildlife and Park Activities
Wildlife encounters occur in natural environments and cannot be guaranteed.
Where an itinerary includes wildlife observation, gorilla trekking or other nature-based activities, CLG cannot guarantee the location, visibility or behaviour of wildlife.
Customers must follow the instructions of authorised guides, park personnel and competent authorities.
Park regulations and permit conditions form part of participation in the relevant activity.
25. Customer Conduct and Safety Instructions
Customers must behave responsibly and must comply with reasonable safety instructions issued by CLG personnel, guides, drivers, park authorities or other responsible persons.
CLG may refuse or discontinue participation where a person’s behaviour creates a serious risk to:
- the customer;
- other travellers;
- CLG personnel;
- local communities;
- wildlife;
- property; or
- the lawful operation of the trip.
Illegal, threatening, abusive or deliberately dangerous behaviour is not permitted.
Any decision to restrict participation will be proportionate to the circumstances and subject to applicable law.
26. Local Conditions and Expectations
Customers travelling in the Democratic Republic of Congo should understand that infrastructure and operational conditions may differ significantly from those in Europe or other highly developed travel markets.
Examples may include variable road conditions, power interruptions, internet limitations, changes in schedules, limited availability of particular products and differing accommodation standards in remote regions.
CLG selects suppliers and arrangements with reasonable care but cannot promise that every service will operate to standards identical to those of the customer’s home country.
27. Accommodation
Accommodation included in a booking will be described in the relevant itinerary or Booking Confirmation.
Substitution may occasionally become necessary because of operational circumstances or availability.
Where reasonably possible, CLG will arrange alternative accommodation of a comparable standard.
Accommodation classifications and expectations may differ between countries and regions.
28. Local Transportation
Transportation within the DRC may form part of a CLG itinerary where specifically included.
The type of transportation depends on the destination and may include vehicles, boats, domestic aviation or other locally appropriate transportation.
Journey times are estimates and can be affected by road, traffic, weather, security and local operating conditions.
29. Third-Party Service Providers
CLG works with third-party service providers where necessary to deliver its services.
These may include:
- hotels;
- lodges;
- transport companies;
- drivers;
- domestic aviation providers;
- boat operators;
- park authorities;
- guides;
- permit authorities;
- local contractors; and
- specialist service providers.
The legal responsibility of CLG for services provided by third parties depends on the nature of the contract and applicable mandatory law.
Nothing in these Terms excludes responsibility that applicable law places on CLG as an organiser or contracting party.
30. Package Travel and Mandatory Traveller Rights
Depending on the combination of travel services sold and the circumstances of the booking, a CLG travel arrangement may qualify as a package or another regulated travel product under laws applicable to the customer.
The fact that international flights are booked independently does not by itself determine whether other travel services combined by CLG constitute a package.
Where mandatory package-travel legislation applies to a booking, the traveller receives the rights and protections required by that legislation notwithstanding anything inconsistent in these Terms.
This may include, where applicable, rights concerning pre-contractual information, performance of travel services, cancellation, assistance, refunds and insolvency protection.
CLG will adapt its booking documentation and processes where necessary to comply with mandatory travel legislation applicable to the relevant market.
31. Professional Services – Scope of Work
For Professional Services, the agreed scope of work is defined in the relevant proposal or Statement of Work.
The scope may specify:
- project dates;
- locations;
- number of personnel;
- vehicles;
- accommodation;
- fixers;
- translators;
- guides;
- researchers;
- production support;
- equipment support;
- permits;
- accreditation;
- deliverables; and
- other logistical requirements.
Services outside the agreed scope may be treated as additional services and charged separately.
32. Professional Services – Client Responsibilities
Professional clients are responsible for providing accurate information about their project.
This includes, where relevant:
- purpose of the assignment;
- crew size;
- personnel;
- equipment;
- locations;
- filming activities;
- research activities;
- dates;
- transportation requirements;
- security requirements; and
- special permits.
Material changes may require revised pricing, additional permits or changes to the operational plan.
33. Additional Professional-Service Days and Scope Changes
Where a Professional Service assignment is extended at the client’s request or because of circumstances attributable to the client, additional days, personnel, vehicles, accommodation or other resources may be charged at the rates stated in the proposal or subsequently agreed.
Where the scope materially changes, CLG may issue a revised quotation or change order before undertaking the additional work.
34. Professional Equipment
Professional clients remain responsible for their own cameras, computers, production equipment, communications equipment and other property unless CLG has expressly accepted responsibility for particular equipment in writing.
Clients are responsible for ensuring that their equipment can lawfully be imported, possessed and used in the DRC.
Where requested, CLG may assist with customs or permit procedures but cannot guarantee decisions made by governmental authorities.
35. Film, Media, Journalism and Research Permissions
Professional assignments may require authorisation from governmental bodies, local authorities, site owners, communities or other entities.
CLG may assist with these arrangements where included in the project scope.
The client must accurately describe the intended activity.
A permit obtained for one stated purpose must not be used for a materially different activity without appropriate authorisation.
CLG will not knowingly facilitate activities that are unlawful or outside the agreed authorisation.
36. Editorial and Professional Independence
Where CLG provides logistical or fixing support to journalists, documentary makers, photographers or researchers, operational support by CLG does not imply editorial control over the client’s work unless expressly agreed otherwise.
The professional client remains responsible for its own editorial decisions, publications, research conclusions and use of recorded material.
37. Releases, Consents and Rights of Third Parties
Professional clients are responsible for determining what releases, permissions or consents they require for publication or exploitation of their work unless responsibility for obtaining specified permissions has expressly been assigned to CLG.
Local customs, privacy, cultural expectations and applicable laws should be respected when photographing, recording or interviewing individuals.
38. Confidentiality
CLG will treat confidential non-public project information supplied by Professional Service clients with reasonable care.
Professional clients are likewise expected to respect confidential business, operational and security information supplied by CLG.
More detailed confidentiality obligations may be agreed through a separate Non-Disclosure Agreement or Statement of Work.
39. Intellectual Property
Each party retains ownership of intellectual property that it owned before the project.
CLG retains ownership of its trademarks, branding, website content, internal systems, methodologies, templates and pre-existing materials.
A Professional Service proposal or Statement of Work should specify ownership or licence terms for any project-specific deliverables created by CLG.
Unless expressly agreed otherwise, nothing in these Terms transfers ownership of one party’s pre-existing intellectual property to the other.
40. Insurance for Professional Clients
Professional clients should maintain insurance appropriate to their activities.
Depending on the project, this may include:
- production insurance;
- equipment insurance;
- professional liability insurance;
- public liability insurance;
- employee or crew insurance;
- medical insurance; and
- evacuation or repatriation cover.
Where a particular insurance policy is mandatory for a specific project, this will be stated in the proposal or Statement of Work.
41. Customer Responsibility for Personal Property
Customers remain responsible for passports, money, electronic equipment, luggage and other personal belongings unless applicable law provides otherwise.
Customers should take reasonable precautions to protect valuable items and should maintain appropriate insurance where desired.
42. Emergency Assistance
If a customer becomes ill, injured or otherwise requires urgent assistance during a trip, CLG will make reasonable efforts to assist.
The availability and speed of medical or emergency services may be limited in remote areas.
Unless the relevant cost is included in the contract or is legally the responsibility of CLG, costs of medical treatment, evacuation, repatriation or other personal emergency services remain the responsibility of the customer or their insurer.
This is one reason CLG strongly recommends adequate travel and medical evacuation insurance.
43. Client Portal
CLG may provide customers with access to a private Client Portal.
Portal access is personal to the authorised user.
Customers must not knowingly:
- share account credentials with unauthorised persons;
- attempt to access another customer’s information;
- interfere with the security of the portal;
- upload malicious software;
- upload unlawful material; or
- use the portal for purposes unrelated to their CLG booking or project.
CLG may temporarily restrict access where reasonably necessary for security, maintenance, investigation of misuse or account protection.
44. Accuracy of Portal Information
Customers should inform CLG if information shown in the Client Portal appears incorrect.
Portal status information is provided to assist communication and project management.
Where formal contractual documents conflict with informal status information displayed in the Portal, the signed or confirmed contractual documentation takes precedence unless corrected or amended in writing.
45. Privacy and Personal Data
CLG processes personal data in accordance with its separate Privacy Policy.
The Privacy Policy explains, among other matters:
- what information CLG processes;
- why it is processed;
- how customer documents are protected;
- storage of private customer documents in Germany;
- temporary visa-related processing in the DRC;
- data-retention procedures; and
- customers’ applicable privacy rights.
The Privacy Policy forms an important part of CLG’s customer information but is separate from these contractual Terms.
46. Marketing Communications
A booking or enquiry does not automatically subscribe a customer to marketing communications.
Newsletter and promotional communications are sent only where the customer has expressly requested or consented to receive them.
Customers may withdraw that consent at any time, including through the Client Portal where this functionality is available.
Operational communications required for a booking, trip or professional project are not marketing communications.
47. Website Content
CLG makes reasonable efforts to keep information on its website accurate and current.
However, travel conditions, permit requirements, prices, government procedures, park operations and similar external circumstances may change.
Website information is therefore not a substitute for the specific details contained in the customer’s confirmed booking.
Photographs and descriptions are illustrative and do not constitute a guarantee that conditions will be identical on every trip.
48. Intellectual Property – Website and Brand
Unless otherwise stated, content created and published by CLG, including text, branding, logos, graphics, layouts and original materials, is owned by or licensed to Congo Local Guides.
Such material may not be commercially reproduced, distributed or used as another company’s branding without appropriate permission.
49. Liability
CLG is responsible for its contractual obligations to the extent required by the applicable contract and law.
Nothing in these Terms excludes or limits liability where such exclusion or limitation would be prohibited by law.
In particular, these Terms are not intended to exclude mandatory liability for death or personal injury caused by negligence where such liability cannot legally be excluded, fraud, deliberate misconduct or other liability that applicable law makes mandatory.
When assessing responsibility, a distinction may need to be made between:
- acts or omissions of CLG;
- performance of services forming part of a CLG-organised travel arrangement;
- acts of independent suppliers;
- actions of governmental authorities;
- circumstances caused by the customer; and
- unavoidable and extraordinary circumstances.
For Professional Services between businesses, additional reasonable limitations of liability may be agreed in the relevant Statement of Work.
[LEGAL REVIEW RECOMMENDED: CLG should establish an appropriate B2B liability cap for Professional Service contracts.]
50. Customer-Caused Loss or Costs
A customer may be responsible for reasonable additional costs directly caused by their intentional misconduct, unlawful behaviour or material breach of the contract.
This may include damage to accommodation, vehicles, equipment or property for which the customer is legally responsible.
CLG will not impose arbitrary penalties unrelated to actual loss or an agreed lawful contractual charge.
51. Complaints During a Trip or Project
Customers should notify CLG as soon as reasonably possible if a problem arises.
Early notification may allow CLG to resolve an issue while the trip or project is still in progress.
Where appropriate, customers should provide sufficient information to allow CLG to understand and investigate the issue.
52. Formal Complaints
Formal complaints may be sent to:
Congo Local Guides Sarl
Email: info@congolocalguides.com
The complaint should include sufficient details to identify the booking or project and explain the issue concerned.
CLG will investigate complaints and respond within a reasonable period.
Any mandatory complaint-handling deadlines imposed by applicable law remain unaffected.
53. Consumer Rights
Where a customer acts as a consumer, nothing in these Terms removes rights that the customer has under mandatory consumer-protection law.
This applies even where another provision of these Terms would otherwise appear inconsistent with such mandatory protection.
Where CLG directs its services to consumers in a particular jurisdiction, mandatory consumer rules of that jurisdiction may apply according to applicable conflict-of-law rules.
54. Governing Law
Subject to mandatory consumer-protection, travel and conflict-of-law rules, these Terms and contracts with Congo Local Guides are intended to be governed by the laws applicable to Congo Local Guides in the Democratic Republic of Congo.
For consumer contracts, this clause does not deprive a consumer of protection provided by mandatory law that cannot validly be excluded by contractual choice of law.
[LEGAL REVIEW REQUIRED BEFORE PUBLICATION: confirm the final governing-law wording under DRC law and for CLG’s principal EU target markets.]
55. Jurisdiction
For Professional Service contracts entered into by businesses or organisations acting in their professional capacity, disputes should, unless otherwise agreed in the Statement of Work and subject to mandatory applicable law, be submitted to the competent courts of Kinshasa, Democratic Republic of Congo.
Consumer disputes remain subject to any mandatory jurisdictional protections available to the consumer under applicable law.
[LEGAL REVIEW REQUIRED BEFORE PUBLICATION.]
56. Changes to These Terms
CLG may update these Terms from time to time to reflect changes in its services, systems, business model or applicable legal requirements.
Changes to website Terms do not retrospectively alter the contractual terms of an already confirmed booking unless the parties validly agree otherwise or the change is required by law.
The version applicable to a booking should be the version provided or made available when the relevant contract was concluded, together with any expressly agreed booking-specific conditions.
57. Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions continue to apply to the extent permitted by law.
Where possible, an invalid provision should be interpreted or replaced in a manner that most closely reflects its lawful commercial purpose.
58. Entire Agreement
For a confirmed booking or professional assignment, the contractual relationship may consist of:
these Terms;
the relevant quotation or proposal;
the Booking Confirmation or Statement of Work;
the confirmed itinerary where relevant; and
any other document expressly incorporated into the agreement.
Written project-specific amendments agreed by both parties may supplement or override the corresponding general provision of these Terms.
59. No Waiver
A failure by either party to enforce a contractual right immediately does not automatically mean that the right has been waived.
